You've found an office, the landlord is ready, and someone says, "Get the rent agreement on stamp paper." A few years ago that meant a trip to the court complex and a vendor who may or may not have the right denomination in stock. Today, in most states, you can buy e-stamp paper online in about ten minutes.
This guide is written for founders, MSME owners and professionals who sign agreements regularly. It covers how e-stamping works, how to buy and verify an e-stamp certificate, what stamp value common business documents need, and the mistakes that make a document legally weak even though it is "on stamp paper."

E-stamp paper, or an e-stamp certificate, is the digital replacement for physical non-judicial stamp paper. When you sign a legal document such as a rent agreement, partnership deed or indemnity bond, the Indian Stamp Act (and each state's Stamp Act) requires you to pay stamp duty to the state. E-stamping is the system that collects that duty and issues proof of payment.
The certificate carries your name, the other party's name, the document type, the duty amount and a UIN. You then print your agreement on, or attach it to, this certificate and sign it.
Why states moved to e-stamping:
Stamp duty applies to the instrument, not the business. If your company signs any of these, it needs to be stamped correctly:
| Document | Typical basis of stamp duty | Notes for businesses |
| Rent / lease agreement (office, shop, warehouse) | % of rent (and sometimes deposit), varies by state | Most common document founders stamp |
| Partnership deed | Fixed amount or based on capital, varies by state | Needed for firm registration with the Registrar of Firms |
| LLP agreement | Based on capital contribution, varies by state | Must be filed with MCA within 30 days of incorporation |
| Affidavit / declaration | Small fixed amount (for example ₹10 in Delhi) | Common in GST, Udyam and bank KYC processes |
| Indemnity bond | Fixed amount, varies by state | Often requested by banks and vendors |
| Non-disclosure agreement (NDA) | Usually "agreement" article, fixed amount | Unstamped NDAs face enforceability hurdles |
| Loan / hypothecation agreement | % of loan amount, capped in many states | Often handled by the lender |
| Power of attorney | Fixed amount, higher for property-related POA | Used for authorised signatories |
| Share certificates and transfers | Uniform rates under the Indian Stamp Act (since 2020) | Paid via depositories for demat shares |
The exact amount depends on the state where the document is executed and the article of that state's Stamp Act it falls under. That's why the same NDA can cost ₹100 in one state and ₹500 in another.
Rent agreements are the most searched use of e-stamp paper, so here is a comparison for major business states.
| State | Stamp duty on rent/lease agreement | Security deposit counted? |
| Delhi | 2% of average annual rent (minimum ₹100) | No |
| Uttar Pradesh | 2% of total rent for the term plus deposit, ₹100 minimum and ₹10,000 maximum | Yes |
| Haryana | 1.5% of average annual rent (lease under 5 years) | No |
| Maharashtra | 0.25% of total rent plus notional interest on the deposit (minimum ₹100) | Yes |
| Karnataka | 0.5% of average annual rent plus deposit (₹500 cap commonly applied to residential leases) | Yes |
| Tamil Nadu | 1% of total rent for the term | No |
| Telangana | 0.4% of total rent for the term (minimum ₹50) | No |
| Gujarat | ₹500 flat for residential under 1 year; 1% of average annual rent for 1 to 5 years | No |
Rates compiled from state Stamp Act schedules as of mid-2026. Stamp duty is revised by state notification, so confirm on your state's IGRS or SHCIL calculator before paying.
Worked example (Delhi office): Monthly rent is ₹40,000 on an 11-month agreement. Total rent = ₹4,40,000. Because the term is under a year, the average annual rent equals the total rent: ₹4,40,000. Stamp duty at 2% = ₹8,800.
Many small businesses under-stamp this as "₹100 stamp paper" because that is what residential tenants often use. A commercial agreement stamped at ₹100 is insufficiently stamped. That becomes a problem the moment you need it as evidence, for example in a deposit dispute.
These steps apply to Delhi, UP, Punjab and other states on the SHCIL system. Screens differ slightly by state.
Visit shcilestamp.com and create an account with your email and mobile number. Activate it through the email link. One account can be used for all your business e-stamp paper purchases.
After logging in, choose the state where the document will be signed or the property is located. E-stamp paper is state-specific, so a Delhi certificate cannot be used for a Haryana agreement.
Select the document type, for example "Lease" or "Agreement or memorandum of agreement". The article decides the duty, so choosing the wrong one is the commonest e-stamp mistake businesses make.
Fill in the first party, second party, the party paying duty, the consideration amount and a short purpose. These details print on the certificate, so match names exactly with PAN or registration records.
Pay the stamp duty online through net banking, debit card or NEFT/RTGS. Some states also allow UPI. Most SHCIL states charge no separate service fee for online e-stamp purchases.
Download the e-stamp certificate, or collect the printed copy from an authorised collection centre where your state requires it. Check that the UIN, QR code and party names are printed correctly.
Print your agreement on the e-stamp certificate itself, or on plain paper attached to it, as your state allows. Every page should be signed, and the certificate should be the first page.
Offline option: You can also buy e-stamp paper over the counter at SHCIL centres, authorised banks and Authorised Collection Centres (ACCs) in your city. You pay by cash, cheque or DD and get the printed certificate immediately.
| State | System | How it works |
| Maharashtra | GRAS / e-SBTR (bank-based) | Pay through the GRAS portal (gras.mahakosh.gov.in), or get an e-SBTR (Secured Bank and Treasury Receipt) from authorised banks |
| Karnataka | State online system | Duty is paid through the state's registration and stamps platform; the procedure was updated in 2026, so check the Department of Stamps & Registration site |
| Others | Mixed | Some states use franking machines or their own treasury challans alongside e-stamping |
If you operate in more than one state, keep a simple record of which system each office's agreements use. It saves time at renewal.
Always verify e-stamp paper before you sign, especially when a broker or the landlord supplies it.
Visit shcilestamp.com and click "Verify e-Stamp Certificate". For Maharashtra or other non-SHCIL states, use the respective state portal's verification option for e-stamp records.
Type the Unique Identification Number printed on the certificate, select the state and the certificate issue date, then submit. The portal displays the stored certificate details instantly.
Compare the party names, stamp duty amount, article and issue date shown online with the paper copy. Any mismatch means the certificate is invalid or altered and should be rejected.
Scan the QR code on the e-stamp certificate with a phone. It should open matching details. A QR code that fails or shows different data is a red flag for forgery.
| Basis | Physical stamp paper | E-stamp paper | Digital e-stamp + e-sign |
| Availability | Limited, depends on vendor stock | On demand | On demand, fully online |
| Exact denomination | No, combine papers | Yes | Yes |
| Forgery risk | High | Very low (UIN, QR) | Very low |
| Verification | Difficult | Instant online | Instant online |
| Signing | Wet ink, in person | Wet ink, in person | Aadhaar e-sign, remote |
| Best for | Phasing out in most states | Most agreements | Remote parties, fast closures |
Several platforms now combine e-stamp purchase with Aadhaar-based e-sign, so both parties can sign from different cities. This is legally valid for most commercial agreements under the IT Act, 2000. It is not suitable for documents that must be physically registered, such as sale deeds or leases longer than 11 months in many states.
A D2C startup renting a Gurugram warehouse: The agreement is executed in Haryana, so the stamp is bought on SHCIL for Haryana under the lease article, at 1.5% of average annual rent for a lease under five years. The lease is for 3 years, so it must also be registered.
Two partners forming a firm in Lucknow: They buy UP e-stamp paper under the partnership article, sign the deed, and use it to register the firm and open a current account.
A Pune SaaS company signing a vendor NDA: Maharashtra isn't on SHCIL, so duty is paid through GRAS or an e-SBTR from a bank, and the challan or receipt is attached to the NDA.
E-stamp paper is a digital certificate proving stamp duty has been paid to the state government. It replaces physical stamp paper and carries a unique identification number and QR code for verification.
In SHCIL states, register on shcilestamp.com, select your state and document article, enter party details, pay the duty online and download or collect the certificate. Maharashtra uses GRAS or e-SBTR instead.
Go to shcilestamp.com, choose "Verify e-Stamp Certificate", enter the UIN, state and issue date, and match the details shown with your printed certificate. You can also scan the QR code.
Yes. E-stamp certificates are issued under state stamp laws and are valid proof of stamp duty payment in courts, banks and government offices.
The certificate does not expire, but most states require the document to be executed within six months of purchase. Unused certificates can usually be refunded within a similar period.
In many SHCIL states you can download and print the certificate, but some states require collection from an authorised centre. Check the delivery option shown for your state on the portal.
It depends on the state and rent. For example, Delhi charges 2% of average annual rent, so an 11-month lease at ₹40,000 a month needs about ₹8,800 in stamp duty.
It's usually the tenant, unless the agreement says otherwise. Many state Stamp Acts place the default liability on the lessee.
No. Each e-stamp certificate is linked to one transaction and the parties named on it.
E-stamp paper has made stamp duty faster and much harder to fake, but it hasn't made it simpler to get right. The amount still depends on your state, the document's article and how the consideration is calculated. Most problems we see come from a correctly bought certificate carrying the wrong value, in the wrong state, or for an agreement that also needed registration.
Before you pay, confirm the article and amount with your state's calculator, buy the certificate in the correct party's name, verify it online and keep a copy with your company records.
